(ASCEND) MAX-CISCO connection problem

Hello Ascend managers, I'm new to ascend gear, please advise:

MAX4000-G703-----modem----------HDSL--------modem-----V35-Cisco

Modems are Pairgain HighGain ETU851 and 852.

When modems are in structured mode, MAX's port is ok, LA
When in unstructured - 1S forever.

No connection in both cases, line protocol down on cisco....
